Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AdLuxy B.V. ("AdLuxy," "we," "our," or "us"), a company registered in the Netherlands with its principal office at Keizersgracht 520, 1017 EK Amsterdam.

By accessing or using adluxy.com, our advertiser platform, our ambassador application, or any related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use our Services. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

AdLuxy operates an AI-powered outdoor advertising platform consisting of:

  • Advertiser Platform: A self-serve and managed platform enabling businesses to create, schedule, target, and monitor outdoor advertising campaigns displayed on AdLuxy LCD backpacks.
  • Ambassador Program: A program through which individuals carry AdLuxy backpacks in public spaces, displaying advertisements while earning compensation.
  • Analytics Dashboard: Real-time and historical analytics showing campaign performance including verified impressions, audience demographics, heatmaps, and ROI metrics.
  • API & Programmatic Access: OpenRTB-compatible endpoints for programmatic buying of AdLuxy inventory through DSPs and trading desks.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

4. Advertiser Terms

4.1 Campaign Content

You are solely responsible for the content of your advertisements. You warrant that your ad content:

  • Does not infringe any third-party intellectual property rights
  • Complies with all applicable advertising standards and regulations in the jurisdictions where campaigns run
  • Does not contain misleading, deceptive, defamatory, obscene, or illegal content
  • Complies with the AdLuxy Acceptable Content Policy (available upon request)

AdLuxy reserves the right to reject or remove any advertisement that violates these requirements, without refund for the rejected content.

4.2 Pricing & Payment

Campaign pricing is displayed on our platform and in your service agreement. All prices are in Euros unless otherwise stated and are exclusive of applicable taxes (VAT). Payment is due in advance for Starter and Pro plans. Enterprise pricing is subject to individual negotiation and invoicing terms.

Late payments may incur interest at 1.5% per month. We may suspend access to the Services for overdue accounts exceeding 30 days.

4.3 Campaign Performance

AdLuxy provides AI-verified impression counts and audience analytics on a best-effort basis. While our AI models are continuously calibrated, impression counts are estimates based on computer vision models and should not be treated as exact figures. AdLuxy's satisfaction guarantee (re-running campaigns that don't meet impression targets) is subject to fair-use limits defined in your service agreement.

5. Ambassador Terms

5.1 Relationship

Ambassadors are independent contractors, not employees of AdLuxy. Nothing in these Terms creates an employment, partnership, or agency relationship. Ambassadors are responsible for their own taxes, insurance, and compliance with local laws.

5.2 Equipment

AdLuxy provides backpack equipment on loan for the duration of your engagement. You are responsible for the reasonable care and return of equipment. Damage beyond normal wear and tear may result in repair or replacement charges as outlined in your Ambassador Agreement. You must not modify, disassemble, or tamper with AdLuxy equipment.

5.3 Compensation

Ambassador compensation rates are specified in the Ambassador Agreement and may vary by city, shift type, and campaign. Payment is processed weekly to your registered bank account. AdLuxy reserves the right to adjust rates with 14 days' written notice.

5.4 Safety & Conduct

Ambassadors must follow the AdLuxy Safety Guidelines at all times, including wearing reflective gear during low-light conditions, avoiding unsafe areas, and following all local traffic laws. You must not operate the backpack while impaired by alcohol or drugs. AdLuxy provides public liability insurance coverage during active shifts.

6. Intellectual Property

All intellectual property in the AdLuxy platform, website, branding, software, AI models, hardware designs, and documentation is owned by AdLuxy B.V. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services during the term of your agreement.

You retain ownership of your advertising content. By uploading content to our platform, you grant AdLuxy a non-exclusive license to display, transmit, and process your content solely for the purpose of delivering your campaigns.

7. Prohibited Uses

You may not:

  • Use the Services for any illegal purpose or to promote illegal activities
  • Attempt to reverse-engineer, decompile, or extract source code from our software or AI models
  • Interfere with or disrupt the Services or servers
  • Scrape, crawl, or harvest data from our platform without written consent
  • Resell or sublicense access to the Services without authorization
  • Submit fraudulent impression data or manipulate analytics
  • Use the Services to collect personal data about members of the public beyond what our AI systems provide in aggregate form

8. Limitation of Liability

To the maximum extent permitted by applicable law, AdLuxy's total liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to AdLuxy in the twelve (12) months preceding the claim.

AdLuxy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

9. Indemnification

You agree to indemnify and hold harmless AdLuxy, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms.

10. Termination

Either party may terminate the agreement by providing 30 days' written notice. AdLuxy may terminate or suspend your access immediately if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding fees.

Upon termination: (a) your right to use the Services ceases immediately; (b) you must return any AdLuxy equipment; (c) outstanding payment obligations survive; (d) AdLuxy will provide your data in a portable format upon request within 30 days.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AdLuxy does not warrant that the Services will be uninterrupted, error-free, or secure.

12. Force Majeure

AdLuxy shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, civil unrest, power failures, internet disruptions, or severe weather conditions that prevent ambassador operations.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.

For EU consumers: Nothing in these Terms affects your statutory rights under mandatory consumer protection laws in your country of residence. You may also file complaints with the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

14. Modifications

AdLuxy reserves the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or a prominent notice on our website. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and AdLuxy regarding the Services and supersede all prior agreements, understandings, and communications.
